1. Who these terms are between
These Terms of Service (the “Terms”) are an agreement between you and EsignCenter LLC, which operates EsignCenter at esigncenter.com. In these Terms, “we”, “us” and “EsignCenter” mean that company, and “you” means the person or organization using the service.
By creating an account, or by using EsignCenter in any other way, you agree to these Terms. If you are agreeing on behalf of a company, you are telling us you are allowed to do that, and “you” means that company.
You can reach us at support@aceddev.com. We answer support questions at that address.
2. Your account
- One login is one person. Logins are personal. Do not share a login, and do not let someone else use yours. If more than one person needs access, invite them — see section 5.
- You are responsible for your credentials. Keep your password to yourself, and tell us straight away if you think somebody else has it. We are not able to tell an intruder from you if they are using your password.
- You confirm your email address before you can send. When you sign up with an email address and a password, we email you a link. Until you open it you cannot sign in, and nothing can be sent from the account.
- Signing in with Google or Apple. You can create an account, and sign in, with a Google account or an Apple ID instead of a password. Google or Apple tells us your email address and your name. Apple lets you hide your real address behind a private relay address that forwards to it; if you choose that, the relay address is the one on your account, and everything we email you reaches you through it. If you have turned on two-factor authentication in EsignCenter, you still enter your one-time code — neither Google nor Apple replaces it. One case is worth stating plainly: if somebody had already typed your address into the sign-up form but never opened the confirmation email, signing in with Google or Apple takes that unconfirmed account over and replaces its password with a random one nobody holds. Google or Apple has just proved the mailbox is yours; whatever password the other person set stops working, and you set your own from “Forgot your password?”.
- You must be able to enter a contract. EsignCenter is for adults and for organizations. It is not directed at people under 18 and you may not use it if you are under 18.
3. The free plan
Every account starts on the free plan. It is free permanently, and it has these limits:

The monthly limits run on the UTC calendar month and reset by themselves at midnight UTC on the first of each month. A few things are worth spelling out:
- What counts as a completed document. A document counts the first time any signer completes it. A document with several signers counts once, not once per person. Corrections, resends and re-completions of the same document never add another completion. A document that is declined, or that expires with nobody having signed it, counts nothing.
- What counts as a document sent. Every document created for signature counts as a send, however it was created — the recipients form, a share link, an API call, “sign it yourself” or a correction. Deleting or archiving a document afterwards does not give the send back.
- Storage, and fair use. We store the documents you keep with us: your uploads and templates, the signed documents and audit trails we produce for you, the files and signatures your signers add, and your logo — including anything in your archive, until you delete it permanently. Storage is included in every plan, subject to fair use. If your account gets close to the fair-use limit, we email your administrators first; if it reaches the limit, new uploads by people in your account pause until space is freed. Storage never stops a document being sent, and it never stops a signer from signing.
- Documents already sent always complete. Reaching a limit never strands a document that is already out for signature. The people holding it can still finish it, and that completion is still recorded.
- Share links pause at the limit. When the free plan's monthly limit is reached, share links stop accepting new documents until the month resets. Nothing is deleted and nothing is lost.
- The free plan carries our footer. Emails we send on your behalf and the pages your signers sign on show an EsignCenter footer.
- Some features are on the paid plan only. The API, webhooks, embedded signing, signing sessions, automatic reminders, conditional logic, custom email templates, sending from your own email server, BCC, delivery tracking and removing our branding all need a paid plan. The current list is on our pricing page.
Correcting a document somebody has already signed
Sometimes a document is signed and only then does somebody spot a mistake. You fix it and send the same document out again, and we treat that as the same document rather than a new one.
Correcting a signed document and sending it again never uses a second completion, however many rounds it takes; it still counts as a send.
Correcting a signed document is allowed even when you have reached the monthly completion limit; it still counts as a send and as an open document.
4. Paid and Business plans
- Price. Paid costs $9.99 per user per month. Business costs $49.99 per month including one seat, plus $9.99 per extra seat per month. Prices are in US dollars and do not include sales tax. We do not currently collect sales tax. If we become required to collect it where you are, we will tell you before we add it to your invoices.
- Every user is a seat. Everybody in the account occupies a seat, including people who can only view.
- Storage. Included, subject to the same fair use, and the fair-use limit grows with every seat. As on the free plan, your administrators are emailed first, and reaching the limit pauses new uploads only.
- Free trial. 14 days without plan charges. We ask for a card at the start of the trial, and plan charges begin when the trial ends unless you cancel before then. Optional API packs are charged immediately, including during the trial, at $9.99 per new pack. Canceling the trial stops future renewals but does not automatically refund packs already purchased. There is one trial per account, ever.
- Adding seats. A seat added part-way through a billing period is charged straight away, for the rest of that period, at the amount we show you before you confirm it.
- Removing seats. Removing a seat takes effect at your next renewal: the next invoice simply bills fewer seats. There is no mid-cycle credit or refund. The seat count never drops below the number of people actually in the account.
- Invitations. An invitation to join your account is valid for 7 days. It holds the seat while it waits.
- Canceling. You can cancel at any time. Your paid access continues to the end of the period you have already paid for, and then the account moves to the free plan. After the trial we do not give prorated refunds for a period you have started.
- Duplicate charges. If our systems ever charge you twice for the same subscription, we refund the duplicate — automatically where we can, and by hand where we cannot. That is not a discretionary goodwill payment; it is what we do.
The cancellation and no-proration rules above do not limit refunds for duplicate or erroneous charges or refunds required by law.
“Unlimited” documents, and fair use
We do not charge per document. We watch for unusually high usage and review it with you. These are the numbers that prompt that conversation:

Passing one of these numbers blocks nothing automatically. It raises a flag for a person at EsignCenter to look at, and only a person can suspend a paid account for passing these fair-use numbers — never the software, and never without that review. Separate rules can stop activity without that review: an unpaid card (section 6), the sending pause a spam complaint triggers (section 11), and the API allowance for new API, embedded-form and MCP submissions (section 12).
5. People in your account
An administrator invites people by email address from Settings. The invitation holds a seat and lasts 7 days; the person chooses their own name and password when they accept it.
If the person you invite already has their own EsignCenter account, accepting your invitation moves them into your team: their templates, folders and documents come with them, and their old account is archived. Nothing in it is deleted, and documents it has already signed stay verifiable. Because it is a move between two organizations, the keys their old account issued stop working — API tokens, integration tokens, “remember me”, and every browser they were signed in on except the one they accepted from. We tell them all of this on the page before they press the button, and we refuse the move in a number of cases — among them when their old account still has other people in it, still has a paid subscription, is frozen for an unpaid card, is scheduled for deletion, or is already closed. Each refusal says which one it is and what to settle first.
An account can never lose its last administrator. Removing, demoting or archiving the only person who can administer an account is refused.
6. If a payment fails
A failed payment does not take the service away on the first day.
- You get 14 days of grace. Through those days everything works exactly as before, paid features included.
- We email the account's administrators four times in that period: on the day the payment fails, then three days, a week and thirteen days later. Every one of those emails says when the account will be suspended, or that it already has been, and links straight to the billing page.
- On day 14 the account is suspended.
Suspended means read-only, and nothing more than that:
- Everybody can still sign in. Nothing is deleted.
- Every document, template and export stays readable, downloadable and exportable.
- A signer who already holds one of your documents can still finish signing it, and that completion is still recorded.
- Nothing new can be created or changed — documents, templates, people, settings — and the API and webhooks stop.
- Paying lifts the suspension automatically, within seconds. There is no support ticket and no manual step.
If our card processor reports the subscription as unpaid or paused rather than merely late, there is no grace left to give and the account is suspended straight away, in exactly the read-only shape above. Nothing is deleted, everything stays readable and exportable, and settling the payment lifts the suspension automatically. Later on, if the card processor gives up on the subscription altogether and cancels it, there is nothing left to collect: the account returns to the free plan and can write again under the free plan's limits.
7. Going back to the free plan
- Nothing is deleted, ever.
- Every document, template and audit trail stays readable and exportable.
- Your free month starts the moment the paid plan ends. What you completed and sent earlier in that calendar month was paid for and is not charged against the free allowance. The account starts again at 0 of 5 completions and 0 of 15 sends. That free month still ends with the calendar month, not thirty days later.
- Documents already in progress keep the features they were created with.
- The free plan has 1 seat, so extra people become read-only: they can still sign in, read, download and export, and they cannot create or change anything. Nobody is deleted, and an administrator chooses who keeps the seat.
8. How long we keep your data, and how you delete it
- After you cancel. We keep a canceled paid account's data for at least 1 year after the cancellation, so that coming back is always possible.
- An account nobody uses. An account with no sign-in and no activity for 1 year may be deleted. Before that happens we email everybody in the account 60, 30 and 7 days beforehand, and any use of the account resets the clock.
- Deleting on purpose. An administrator can delete the account from Settings. We confirm it is really you, with your password or with a code we email you. The subscription is canceled at once, so you are not charged again. The account then becomes read-only for 90 days, during which you can still sign in, download and export everything — and any administrator can call the deletion off. At the end of those 90 days we destroy your documents, templates, audit trails, files, settings and logins. A short list of records survives, and it is set out below.
- Take a copy whenever you like. Settings offers an export: one zip file holding your documents, your templates and the audit trail of every signature. You do not have to be leaving to ask for it.
What survives a deletion
A permanent deletion is not quite total, and we would rather you knew exactly what is left before you press the button. This is the whole list:
- The verification record of each signed document, kept permanently. A fingerprint, the date it was signed and how many people signed it. It never contains the document, and it never names anybody. It has to outlive the account: without it, every copy of that document already in the world would stop verifying for the people holding it (section 10).
- Your subscription and payment history. What plan you were on, what was charged and when — the accounting record we are required to keep.
- The record of what our payment processor told us, with the identity taken out. We keep the ids, amounts, dates and outcomes, because that is the audit of the money; names, email addresses, postal addresses, card details and the links to processor-hosted invoices are blanked out with a redaction marker.
- A stub of the account row itself — a number and the date it was deleted, renamed so it no longer says who it was. It exists so that the records above point at something rather than at nothing.
- Our own log of support access to the account — when we looked, why, and what we did. It is the record that makes that access answerable, so deleting it on request would defeat its purpose.
- Any stored file that another EsignCenter account is also using — for example a template somebody shared with you and copied. Only your copy is removed; the other account keeps theirs.
Nothing else survives. Your documents, templates, folders, audit trails, uploaded and signed files, signatures, settings, API keys, invitations and logins are all destroyed, and the email addresses on those logins are released for anyone to use again.
9. Signing, and the people who sign
Before anybody can complete a document on our signing pages, we ask them to agree to use electronic records and signatures, and we show them a short disclosure explaining what that means. We record that agreement in the document's audit trail together with the date and time, the signer's IP address and the version of the disclosure they were shown.
There is one door where we cannot ask, and it matters. The API and signing sessions let an account holder mark a document as completed on a signer's behalf — because the signing happened somewhere else, on their own system or in front of them. No signer visits our pages on that path, so no consent is collected and none is recorded. If you use that door, obtaining the signer's agreement to sign electronically, and keeping your own record of it, is yours to do.
The sender is responsible for the document. If you send a document through EsignCenter:
- you are responsible for what is in it, for having the right to send it to the people you send it to, and for whatever the law where you and they are requires of you;
- you are the person a signer asks for a paper copy, and the person they tell if they want to withdraw their agreement to sign electronically. We record the agreement; honoring those requests is yours to do;
- we do not read, review, check or approve the documents you send. We have no view on whether a document you send is appropriate, accurate or complete.
We provide the tool and the record. Whether a particular signed document is enforceable is a question of law that depends on the document, the parties and where they are. We do not decide it, and nothing in EsignCenter promises an outcome in any dispute.
10. Signed documents and verification
When a document is completed, we seal it with EsignCenter's digital signature and add a timestamp from an independent third-party timestamp authority. Anybody holding the file can check it at esigncenter.com/verify without an account.
That page reveals exactly two things: the day the signing finished and how many people signed. It never reveals who signed, what was signed, or anything from inside the document.
11. Acceptable use
You may not use EsignCenter:
- for anything unlawful, deceptive, fraudulent or misleading;
- to send documents to people who have not asked for them and have no relationship with you — EsignCenter is not a bulk mail tool;
- to impersonate somebody else, or to send a document under a name that is not yours to use;
- to interfere with the service or to get around its limits, or to probe or test its security without our written permission first — we welcome security reports, we just want to know before you start;
- to upload or send malware, or anything designed to damage or take control of a computer;
- to scrape, crawl or bulk-collect from the service by any means other than the API on a plan that includes it;
- to copy, decompile or reverse engineer the hosted service in order to build a competing product — the application's source is open under a license that says what you may do with it (section 14), and this is about the service we run, not about that code;
- for anything where a failure or a delay could lead to death, personal injury, or severe environmental or property damage. EsignCenter is not built for those uses and must not be relied on for them.
Complaints and bounces pause sending. A spam complaint about mail we sent for you, or a high rate of undeliverable addresses, pauses your account's sending until a person at EsignCenter has reviewed it. Everything else keeps working while that happens. We may suspend or close an account for abuse.
Every signing page carries a “Report this document” link, so anybody who receives something they should not have can tell us directly.
Sensitive information
Your documents can contain sensitive personal information, such as medical records attached to a benefits claim, or Social Security and VA file numbers on a government form. You are responsible for having the right to collect it and send it, and for anything the law requires of you when you do.
Two kinds of information must not go through EsignCenter:
- Health information covered by HIPAA, if you are a healthcare provider, a health plan, or a business working for one. We do not sign business associate agreements.
- Full payment card numbers or card security codes.
We protect everything you store with us in the same way (see our Privacy Policy). We do not offer any extra certification or compliance for sensitive data.
12. The API and integrations
The API, webhooks, embedded signing and the other integration features are part of Paid and Business. You are responsible for what your API keys do, exactly as you are for what your password does.
Paid includes 50 API completions per month; Business includes 500. The allowance belongs to the billing account, not each seat. An API completion is the first signer completion of a document created through the API, embedded signing or MCP. Each document lineage counts once: a correction never uses a second completion. The month is a UTC calendar month. Trialing accounts receive their plan's allowance. Internal and operator accounts are exempt.
A recurring API pack adds 50 completions per month for $9.99 per month on Paid or Business. Each added pack costs the full monthly price immediately, with no proration, and increases capacity after payment. This applies during a trial too: a pack added during a trial is paid for when it is added, the trial continues, and the pack renews monthly once the trial ends. Removing packs takes effect at renewal; capacity already paid for remains available until then, without a mid-month refund. Upgrading from Paid to Business charges the prorated difference now and raises the allowance immediately. Moving from Business to Paid takes effect at renewal, with no credit; Business capacity stays until then.
At the allowance we refuse new API, embedded-form and MCP documents until the next UTC month or until you add capacity. Each open API document reserves one completion until it is signed, declined, expired or archived. Corrections of already-signed documents are allowed at the allowance. Documents already sent always remain signable; in-app sending and Resubmit on Paid and Business keep the fair-use rules above and are never refused by the API allowance. At rollout, only documents created on or after the API metering activation time count toward this allowance and its warnings; older documents are excluded. We email your administrators at 80% and 100% of the allowance, once each per month. There are no automatic per-document overage charges. Enterprise capacity and other terms require a separate agreement with us.
A legacy integration login can only do document work through the API on its own account; it cannot manage users, seats or billing.
13. Where your data is, and who helps us handle it
EsignCenter runs in the United States, and your data is stored and processed there. We use a small number of other companies to run the service — hosting, file storage, email delivery, payments, error reporting and bot protection. The current list is on our Sub-processors page, and what each of them receives is set out in our Privacy Policy.
We do not offer a data processing addendum at this time. If your organization requires one, EsignCenter is not the right service for you yet.
14. Open source, and whose names these are
EsignCenter is built on DocuSeal, which is open source software licensed under the GNU Affero General Public License, version 3. The source of the version we run is available at https://github.com/ACED-DevTeam/EsignCenter.
“DocuSeal” is a trademark of its owner. It is not ours, and nothing here suggests that DocuSeal's owner endorses, supports or is responsible for EsignCenter.
15. No warranties
We work hard to keep EsignCenter running and correct, but we provide it “as is” and “as available”. To the fullest extent the law allows, we disclaim all warranties, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement.
We do not promise that the service will be uninterrupted or error-free, that it will meet a particular legal or regulatory requirement of yours, or that a document you send through it will achieve a particular result.
16. Limits on our liability
To the fullest extent the law allows, neither we nor anyone who works with us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business or lost data, however caused.
Our total liability to you, for all claims taken together and whatever the legal theory, is limited to the fees you actually paid us for EsignCenter in the twelve months before the event that gave rise to the claim. If you have paid us nothing, our total liability is nothing.
Some places do not allow some of these exclusions. Where that is so, they do not apply to you and the rest of this section still does.
17. Your content, and covering us for it
Your documents are yours. We claim no ownership of them, and we use them only to run the service for you — to store them, show them to the people you send them to, produce the signed result and keep the audit trail.
You agree to cover us for any claim, loss or cost that comes from the documents you send, from your use of EsignCenter, or from your breaking these Terms — including reasonable legal costs. We will tell you about any such claim promptly and let you take the lead in defending it.
18. Changes to the service
We are still building EsignCenter. We may change, add, remove or discontinue features, and we may change how something works. Where a change would take away something you rely on, we will give you reasonable notice and the chance to export everything first.
Some features are offered as beta or preview features. They are labeled as such, they may change or disappear, they may not work properly, and they are provided with no warranty of any kind. Use them with that in mind, and do not use them for anything that has to be right.
19. Third-party services
Three other companies are part of using EsignCenter, and your dealings with them are governed by their own terms as well as ours:
- Google, if you choose to sign in with a Google account.
- Apple, if you choose to sign in with an Apple ID.
- Stripe, which handles every payment. Your card details go to Stripe, not to us.
We are not responsible for those services, and we do not control what they do. The other companies we use to run the service are listed on our Sub-processors page and in our Privacy Policy.
20. Notices, and agreeing to receive them electronically
How we reach you. We send notices — including changes to these Terms, billing messages, invoices, receipts, security notices and anything else we are required to tell you — by email, to the addresses of the people who administer your account, and by posting them in the application or on this site. A notice is given when we send it. Keep your administrators' email addresses current; a notice sent to an address you no longer read still counts as given.
How you reach us. Email support@aceddev.com, or write to the postal address in section 29.
You agree to receive all of this electronically. By using EsignCenter you consent to receive this agreement, every notice, every disclosure, every invoice and every receipt in electronic form rather than on paper, and you agree that an electronic record satisfies any requirement that such a thing be in writing. You can withdraw that consent by closing your account; we do not offer a paper alternative.
21. Copyright complaints (DMCA)
EsignCenter stores and sends the documents our customers upload. We do not review them, and we cannot tell whether a customer owns what they upload. If you believe something stored or sent through EsignCenter infringes your copyright, this section says how to tell us, what we do about it, and how the person who uploaded it can answer.

Sending a notice
Your notice must include:
- your physical or electronic signature;
- a description of the copyrighted work you say has been infringed;
- a description of the material you say is infringing, and enough detail for us to find it;
- your name, postal address, telephone number and email address;
- a statement that you believe in good faith that the use is not authorized by the copyright owner, its agent or the law; and
- a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for them.
A notice that is missing any of these may not be valid, and we may ask you to complete it before we act. If you knowingly say that material is infringing when it is not, the law makes you liable for the harm that causes, including the costs of the person whose material was removed and ours.
What we do with a notice
When we receive a valid notice, we promptly remove the material or disable access to it. We tell the account holder who uploaded it, and we send them a copy of your notice, including your contact details. A document that has been removed can no longer be sent, signed or downloaded.
Answering a notice: the counter-notice
If material you uploaded was removed and you believe that was a mistake, or that you have the right to use it, you can send our agent a counter-notice with:
- your physical or electronic signature;
- a description of the material that was removed, and where it appeared before it was removed;
- a statement, made under penalty of perjury, that you believe in good faith the material was removed or disabled by mistake or because it was misidentified;
- your name, postal address, telephone number and email address; and
- a statement that you consent to the jurisdiction of the federal district court for the district where your address is (or, if your address is outside the United States, for any district in which we may be found), and that you will accept service of process from the person who sent the original notice or their agent.
We send your counter-notice, including your contact details, to the person who sent the original notice. If they do not tell us within ten business days that they have filed a court action to keep the material down, we restore it between ten and fourteen business days after we received your counter-notice. If they do, it stays down until the court decides.
Repeat infringers
We close the accounts of people who repeatedly upload material that infringes copyright.
22. Your privacy rights
Our Privacy Policy explains what we collect and why. Wherever you live, you can ask us to:
- tell you what personal information we hold about you, and give you a copy;
- correct it if it is wrong;
- delete it; and
- reconsider — appeal — if we turn any of those down.
Account holders can do the first three for themselves at any time from Settings, without asking us. For anything else, write to support@aceddev.com and we will answer. An authorized agent may make a request for you; we may need to confirm with you that they really are acting on your behalf.
We do not sell personal information, and we do not share it for cross-context behavioral advertising. We have not done so in the past twelve months.
We will never treat you differently for exercising any of these rights — no worse price, no worse service, no penalty of any kind.
If you are a signer rather than an account holder, the person who sent you the document decides what happens to it, so those requests go to them. Write to us if you cannot reach them and we will help you get to the right person.
23. Export controls and sanctions
EsignCenter is operated from the United States and is subject to United States export control and sanctions laws. By using it you confirm that you are not located in a country or region those laws embargo, that you are not on any United States government list of restricted or denied parties, and that you will not use EsignCenter for any purpose those laws prohibit. We may suspend or close an account to comply with them.
24. Nothing here is advice
EsignCenter is software. Nothing in these Terms, in the product, in our documentation or in anything our support team says is legal, tax, accounting or financial advice. Whether a document you send does what you need it to do, and whether an electronic signature is the right way to sign it where you and your signers are, are questions for your own professional advisers.
25. Ending these Terms
You can stop using EsignCenter at any time, and delete your account from Settings (section 8).
We can suspend or close an account that breaks these Terms, that is being used for abuse, or that we are required by law to close. Except where the law or a serious abuse makes it impossible, we will tell you why and give you a chance to put it right, and we will give you the chance to export your documents first.
These sections carry on after these Terms end: 8 (what we keep and what survives a deletion), 10 (verification), 15 (no warranties), 16 (limits on our liability), 17 (your content, and covering us for it), 20 (notices), 21 (copyright complaints), 22 (your privacy rights), 23 (export controls), 24 (nothing here is advice), 27 (governing law) and 28 (the rest).
26. Changes to these Terms
We may change these Terms. When we do, we post the new version on this page with its own version number and effective date before it takes effect, and we email the administrators of every account. The previous version is kept, so the exact words you agreed to on the day you signed up can always be produced.
If you keep using EsignCenter after a change takes effect, the new Terms apply to you. If you do not agree with a change, you can cancel and export everything before it takes effect.
27. Governing law
These Terms are governed by the laws of the State of Missouri, in the United States of America, without regard to its conflict of laws rules. Any dispute arising out of them belongs in the state or federal courts located in Missouri, and you and we each agree to those courts.
28. The rest
- The whole agreement. These Terms and the Privacy Policy are the whole agreement between you and us about EsignCenter, and they replace anything said before.
- If part of this fails. If a court finds part of these Terms unenforceable, the rest still stands.
- Not waiving anything. If we do not enforce part of these Terms straight away, we have not given up the right to enforce it later.
- Transferring. You may not transfer these Terms without our written agreement. We may transfer them to a company that acquires the business running EsignCenter, and we will tell you if that happens.
- Things outside anyone's control. Neither of us is responsible for a failure or delay caused by something we could not reasonably control — an act of nature, war, terrorism, civil unrest, a labor dispute, an epidemic, a government act, a failure of the internet or of a utility, or an outage at a provider we depend on. Paying what you owe is the exception: that is not excused.
